# Terms of Use

## General
This website, [cantheystay.com](https://cantheystay.com), including the quiz and related pages (the “Site”), is owned and operated by **MVD Holdings, LLC** d/b/a **Can They Stay** (“Can They Stay,” “we,” “us,” or “our”).
By accessing or using the Site in any way (including submitting the quiz), you agree to these Terms of Use, our Privacy Policy, and any additional terms that apply to a specific page or offer. If you do not agree, do not use the Site.
We may change these Terms by posting a revised version with a new Effective Date. Continued use after we post changes is acceptance of the Terms as modified.
The Site is intended for users 18 years of age or older in the United States.
## What Can They Stay is — and is not
Can They Stay is a **matching and referral service**. You complete a short quiz. If your ZIP is in a market we serve, we may send your inquiry to **one** local, independently owned company for private-pay home care, a stair lift, or an accessible bath. If that company does not accept the inquiry in our window, we may offer it to a backup. We do not auction the same family to a list of agencies.
**We are not** a home care agency, nurse registry, staffing firm, medical provider, therapist, stair-lift manufacturer or dealer, bath remodeler, insurer, Medicaid/AHCCCS counselor, or government agency. We do not provide care, install equipment, or guarantee that a parent can stay at home.
Local partners set their own prices, availability, licensing, and services. Your contract, if any, is with them — not with us.
The quiz and Site content are for general information. They are **not** medical, legal, or financial advice. Do not delay professional advice because of something you read here. Always consult the person’s physician and licensed advisors about care, mobility, and the home.
## The quiz and eligibility
You agree to provide true, current information. You represent that you are authorized to submit the request (for yourself or for a family member who wants to stay home).
We may accept, refuse, or stop a request at our discretion, including if the ZIP is outside a market we serve. Out-of-area submissions may be kept as a waitlist so we can email you if we open that area. They are not sent to a partner hours away.
A market “going live” means we have (or are lining up) a contracted partner there. Submitting the quiz does not guarantee a partner, a callback, a price, or that help will arrive on a given day.
## Communications: email, calls, and texts (including later)
By submitting an email address, you agree that Can They Stay, MVD Holdings, LLC, our service providers, and companies under common ownership or control with MVD Holdings, LLC may email you about this request **and, later,** about Can They Stay, new cities, local partners, related services, and other offers. You may unsubscribe from marketing emails using the link in those emails.
By submitting a phone number, you **expressly consent** to receive calls and SMS/MMS/text messages at that number from Can They Stay, MVD Holdings, LLC, our affiliates and companies under common ownership or control, our vendors, **and the local partner we refer you to**, using live agents, autodialers, prerecorded or artificial voice, **including marketing messages, now and in the future.** Message frequency varies. Message and data rates may apply. **Consent is not required to submit the quiz.** Reply STOP to opt out of texts; HELP for help.
You may revoke marketing consent as described in the Privacy Policy. That does not cancel a referral already sent to a local partner, who may still complete that inquiry under their own policies and applicable law.
## Intellectual property
The Site, name “Can They Stay,” logos, text, and design are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Site for your personal, non-commercial use.
You may not copy, scrape, frame, reverse engineer, or commercially exploit the Site or our materials without our prior written permission, except for a single copy of a page for personal use with notices intact.
You may link to the Site if the link does not suggest we sponsor you. You may not frame the Site.
If you send us comments or other content, you grant us a worldwide, royalty-free, perpetual license to use that content in connection with the Site and our business, and you represent you have the right to grant it.
## Third parties
The Site may link to third-party sites or refer you to independent local companies. We do not control them and do not endorse their products or privacy practices. Your dealings with a local partner or other third party are solely between you and them. You release MVD Holdings, LLC and Can They Stay from claims arising out of those dealings.
## Disclaimers
THE SITE, QUIZ, MATCHING SERVICE, AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT A LOCAL PARTNER WILL CALL, ACCEPT YOU, OR BE ABLE TO HELP THE PERSON STAY HOME.
Health, housing, and mobility decisions carry risk. You use the Site at your own risk.
## Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MVD HOLDINGS, LLC, CAN THEY STAY, AND OUR AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF THE SITE, A QUIZ SUBMISSION, OR A REFERRAL TO A LOCAL PARTNER, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS (US $100). SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE STATES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
If you are dissatisfied, your sole remedy is to stop using the Site.
## Indemnity
You agree to defend, indemnify, and hold harmless MVD Holdings, LLC, Can They Stay, our affiliates, and our officers, directors, and employees from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your quiz submission, your dealings with a local partner, or your breach of these Terms.
## Termination
We may suspend or terminate access to the Site at any time without notice. The licenses, disclaimers, limitations of liability, indemnity, communications consents (to the extent permitted by law), and dispute terms survive.
## DMCA
If you believe material on the Site infringes your copyright, send a notice meeting the Digital Millennium Copyright Act to: legal@cantheystay.com. Include the information 17 U.S.C. § 512 requires. We may remove material and terminate repeat infringers.
## Dispute resolution; Florida law; arbitration
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
**Mandatory informal resolution.** Before either party files an arbitration, the complaining party must send a written Notice of dispute by certified mail, return receipt requested, or FedEx, to:

The Notice must include the party’s name, address, email, date of Site use, a short summary of the dispute, and the relief sought. The parties will then hold a video conference to discuss the dispute. We have 45 days after that conference to consider the dispute before an arbitration may be filed. These steps are a condition of arbitration.
**Binding arbitration.** If the dispute is not resolved, it shall be settled by binding arbitration administered by NAM (National Arbitration and Mediation) in Palm Beach County, Florida. Court actions filed instead shall be dismissed in favor of arbitration, except that either party may seek provisional relief in court to protect intellectual property or enforce the arbitration terms.
**Class action waiver.** You may resolve disputes with us only on an individual basis. You may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. Class arbitrations and private attorney general actions are not allowed. The arbitrator may not consolidate claims of more than one person unless all parties agree in writing after the arbitration starts.
If any part of this dispute section other than the class waiver is unenforceable, the rest remains in effect. If the class waiver is unenforceable, this entire arbitration provision is unenforceable and the dispute will be heard in a court of competent jurisdiction in Palm Beach County, Florida.
## Other
These Terms are the entire agreement between you and us regarding the Site and supersede prior discussions on that subject. You may not assign them without our consent. We may assign them to an affiliate or successor. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
